Terms of Service

These terms apply to all Shopify development work undertaken. By commissioning work, you agree to these terms. Project-specific terms (scope, cost, timeline) are defined in the individual project proposal and supersede these general terms where they conflict.

Services

These terms govern the provision of Shopify development services including but not limited to: custom theme development, Shopify app development, ERP and API integration, platform migrations, and Shopify Plus configuration. The specific scope of each engagement is defined in a written scope document agreed before work begins.

Scope and changes

All work is performed against a written scope agreed before development begins. Changes to scope during a project are documented and may affect the timeline and cost. No additional work is started without written agreement on scope and cost. Verbal instructions to proceed with out-of-scope work do not constitute agreement.

Payment

Payment terms are agreed per project and specified in the project proposal. Standard terms are 50% deposit before work begins, with the balance due on delivery. For retainer arrangements, payment is monthly in advance. Late payment may result in work being paused. All invoices are due within 14 days of issue unless otherwise agreed.

Intellectual property

On full payment, the client owns the custom code written for their specific project. This excludes any open-source libraries, third-party components, or Shopify platform code used in the build, which remain under their respective licences. I retain the right to reference the project in a portfolio (without disclosing confidential details) unless confidentiality is explicitly agreed.

Confidentiality

Information shared about your business, systems, or customers in the course of a project is treated as confidential and not shared with third parties. If a formal NDA is required before sharing information, this should be raised before the project begins.

Warranties and limitations

Code is delivered in good faith and tested against the agreed scope. I warrant that custom code will function as described in the scope document at the time of delivery. I do not warrant compatibility with future Shopify platform changes, third-party app updates, or changes made to the codebase after handover. My liability is limited to the value of the fees paid for the relevant project.

Post-launch support

All project engagements include a 30-day post-launch period for bug fixes related to the delivered scope. Issues that arise from changes made by the client or third parties after launch, or from Shopify platform changes, are not covered by this period and are handled separately.

Termination

Either party may terminate an engagement with 14 days written notice. On termination, payment is due for all work completed to date. If the client terminates after work has begun, the deposit is non-refundable. If I terminate, I will provide all completed work and relevant handover documentation.

Governing law

These terms are governed by the laws of England and Wales. Any disputes arising from an engagement will be subject to the jurisdiction of the courts of England and Wales.
